The following terms and conditions govern all use of the www.spdceus.com website and all content, online courses, educational materials, textbooks, workbooks, services, and products available at or through the website (collectively, the “Website”). The Website is owned and operated by Sterile Processing University LLC, a limited liability company organized under the laws of the State of New Jersey (“Sterile Processing University,” “we,” “us,” or “our”). This Agreement constitutes a legally binding contract between you (“User” or “you”) and Sterile Processing University.
This Website and its content are intended solely for individuals who are at least eighteen (18) years of age. By accessing or using the Website, you represent and warrant that you are at least 18 years old and have the full legal capacity to enter into this Agreement. If you are accessing the Website on behalf of an employer, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to this Agreement, and references to “you” herein shall include such entity.
1. Account Registration and Security
To access certain features of the Website, including online courses and purchased publications, you must register for an account. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and promptly update your account information to keep it accurate and complete; (c) maintain the confidentiality of your login credentials and not share your account with any other person; (d) be fully and exclusively responsible for all activity that occurs under your account; and (e) immediately notify Sterile Processing University in writing at [email protected] of any unauthorized use of your account or any other breach of security.
Your account and any course enrollments or publication licenses are personal to you and are non-transferable. You may not share, sell, sublicense, or otherwise transfer access to your account or any purchased content to any third party. Sterile Processing University reserves the right to suspend or terminate accounts found to be sharing access, without refund.
Sterile Processing University will not be liable for any loss or damage arising from your failure to comply with these obligations. You acknowledge that any breach of account security may result in immediate termination of your access without refund.
2. Online Courses and Educational Content
Sterile Processing University offers online continuing education courses for sterile processing professionals. Upon enrollment and payment, you are granted a limited, non-exclusive, non-transferable, revocable license to access and view the course content solely for your personal, non-commercial educational purposes.
Course Access. Unless otherwise specified at the time of purchase, course access is granted for the period indicated on the course product page. Sterile Processing University reserves the right to update, modify, or discontinue course content at any time. Access to course materials does not guarantee that any particular certification, credential, or continuing education credit will be awarded by any third-party credentialing body.
Continuing Education Credits. While Sterile Processing University endeavors to maintain approvals for continuing education credits with relevant credentialing organizations, it does not warrant that any course will be accepted by any particular credentialing body, employer, or licensing authority. It is your sole responsibility to verify that a course meets your specific continuing education requirements before enrolling.
Completion and Certificates. Certificates of completion are issued upon successful completion of all required course components. Certificates are issued to the registered account holder only and are non-transferable. Sterile Processing University reserves the right to revoke any certificate issued based on fraudulent activity, misrepresentation, or violation of this Agreement.
Prohibited Conduct. You agree not to: (a) record, screenshot, download, or otherwise capture any course content; (b) share your login credentials or course access with any other person; (c) reproduce, redistribute, resell, or sublicense any course content in any form; (d) use any automated tools, bots, or scripts to access or scrape course content; or (e) use course content for any commercial purpose without prior written authorization from Sterile Processing University.
3. Publications — Textbooks, Workbooks, and Lesson Plans
Sterile Processing University publishes proprietary textbooks, workbooks, and other educational publications (collectively, “Publications”) available for purchase through the Website. All Publications are protected by United States and international copyright law.
Textbooks and Workbooks. Sterile Processing University’s textbooks and workbooks are sold as physical printed copies only. Upon purchase, you receive a single-user, non-transferable copy for personal educational use only. Resale of textbooks or workbooks is not permitted without prior written authorization from Sterile Processing University. No digital version of any textbook or workbook is authorized for distribution or use.
Digital Lesson Plans. Upon purchase of a digital lesson plan, you are granted a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the lesson plan on authorized devices solely for your personal, non-commercial educational or instructional use. Digital lesson plans may not be printed in bulk, downloaded for redistribution, copied, shared, resold, or otherwise distributed by any means without prior written authorization from Sterile Processing University.
4. Copyright Notice and Intellectual Property
All content on this Website and in all Publications — including but not limited to text, graphics, logos, images, illustrations, audio clips, digital downloads, data compilations, course materials, assessments, answer keys, and software — is the exclusive property of Sterile Processing University LLC or its licensed content providers and is protected by United States and international copyright, trademark, and intellectual property laws. All rights are reserved.

IN NO EVENT SHALL STERILE PROCESSING UNIVERSITY’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE WEBSITE EXCEED THE GREATER OF: (a) THE TOTAL AMOUNT PAID BY YOU TO STERILE PROCESSING UNIVERSITY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, STERILE PROCESSING UNIVERSITY’S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.
7. Payment and Renewal
Course Enrollments and Publication Purchases. By selecting a course or Publication for purchase, you agree to pay Sterile Processing University the fees indicated at the time of purchase. All prices are in U.S. dollars. Sterile Processing University reserves the right to change its pricing at any time, but price changes will not affect any purchase already completed.
Refund Policy. All sales of online courses and digital lesson plans are final and non-refundable, except where required by applicable law. Refund requests for physical textbooks and workbooks must be submitted within 10 business days of the purchase date and are subject to Sterile Processing University’s discretion. Courses that have been accessed or completed are not eligible for refund.
Disputed Charges. If you believe that Sterile Processing University has charged you in error, you must contact Sterile Processing University in writing within thirty (30) days of the charge at [email protected]. Sterile Processing University will have no obligation to provide refunds or credits for charges not disputed within this period. All chargebacks will be assessed a non-refundable fee of $100.00.
8. User Conduct
By accessing or using this Website, you agree that you will not: (a) use the Website for any unlawful purpose or in violation of any applicable laws or regulations; (b) attempt to gain unauthorized access to any portion of the Website or any other systems or networks connected to the Website; (c) use any automated means, including robots, scrapers, or data mining tools, to access, collect, or copy any content from the Website; (d) impersonate any person or entity or misrepresent your affiliation with any person or entity; (e) interfere with or disrupt the integrity or performance of the Website or its content; (f) attempt to reverse engineer, decompile, or disassemble any software or technology underlying the Website; (g) use the Website to transmit any unsolicited commercial communications; or (h) engage in any conduct that, in Sterile Processing University’s sole discretion, restricts or inhibits any other user from using or enjoying the Website.

STERILE PROCESSING UNIVERSITY AND ITS SUPPLIERS AND LICENSORS HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. STERILE PROCESSING UNIVERSITY DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. 13. Indemnification

Sterile Processing University reserves the right, in its sole discretion, to modify, update, or replace any part of this Agreement at any time. When changes are made, Sterile Processing University will update the “Last Updated” date at the top of this Agreement and, for material changes, may provide additional notice such as a notification on the Website or via email. It is your responsibility to review this Agreement periodically. Your continued access to or use of the Website following the posting of any changes constitutes your acceptance of the revised Agreement. If you do not agree to the revised terms, you must discontinue use of the Website immediately.
15. Termination
Sterile Processing University may suspend or terminate your access to all or any part of the Website at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include, without limitation, violation of this Agreement, suspected fraudulent or abusive activity, unauthorized sharing of account access, or unauthorized reproduction of course content or Publications. Upon termination, your right to use the Website and access any course content or Publications will immediately cease. Sterile Processing University will have no obligation to provide a refund of any amounts previously paid upon termination for cause.
If you wish to terminate this Agreement or your account, you may do so by discontinuing use of the Website and contacting Sterile Processing University in writing to request account deletion. For paid subscription accounts, cancellation is subject to the notice provisions in Section 7. All provisions of this Agreement that by their nature should survive termination shall survive, including without limitation intellectual property provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
16. General Representation and Warranty
You represent and warrant that: (i) your use of the Website will be in strict accordance with the Sterile Processing University Privacy Policy, this Agreement, and all applicable federal, state, and local laws and regulations, including without limitation those governing online conduct, acceptable content, and the transmission of technical data exported from the United States or the country in which you reside; and (ii) your use of the Website will not infringe or misappropriate the intellectual property or other rights of any third party.
17. Governing Law; Dispute Resolution
This Agreement and any dispute or claim arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the laws of the State of New Jersey, U.S.A., excluding its conflict of law provisions.
Any dispute arising under or relating to this Agreement that cannot be resolved informally shall be finally settled by binding arbitration administered by the Judicial Arbitration and Mediation Service, Inc. (“JAMS”) in accordance with its Comprehensive Arbitration Rules and Procedures, by a panel of three (3) arbitrators appointed in accordance with such Rules. The arbitration shall take place in New Jersey, USA, in the English language. The arbitral decision shall be final and binding and may be enforced in any court of competent jurisdiction. The prevailing party in any arbitration or legal proceeding to enforce this Agreement shall be entitled to recover its reasonable costs and attorneys’ fees.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, without the necessity of posting a bond or other security.
YOU AND STERILE PROCESSING UNIVERSITY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.
18. Miscellaneous
Entire Agreement. This Agreement, together with the Privacy Policy and any other agreements or policies expressly incorporated herein, constitutes the entire agreement between Sterile Processing University and you with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings.
Severability. If any provision of this Agreement is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from this Agreement. The remaining provisions shall continue in full force and effect.
Waiver. No waiver by Sterile Processing University of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or condition. Failure to enforce any right or provision shall not constitute a waiver of such right or provision.
Assignment. You may not assign or transfer this Agreement without the prior written consent of Sterile Processing University. Sterile Processing University may freely assign this Agreement without restriction.

Force Majeure. Sterile Processing University shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labor disputes, power failures, internet outages, or governmental actions.
No Third-Party Beneficiaries. This Agreement is for the sole benefit of the parties hereto. Nothing herein is intended to confer upon any other person or entity any legal or equitable right, benefit, or remedy.
